It has long been recognized that "'courts are reluctant to remove an executor or
trustee without clear and definite proof of fraud, gross carelessness or indifference.'"
Decided: In this appeal by two of the decedent's adult children of the trial court's
denial of their motion to remove the administrator cum testamento, the appellate
panel finds no abuse of the trial judge's discretion and affirms the denial. The
appellants failed to submit any competent proof that the administrator's judgment
in selling one property for less than the appraisal constituted fraud, gross carelessness
or indifference under the circumstances.

Similarly, they failed to establish a prima facie case justifying removal based
on a failure to protect the estate in connection with his attempted sale of the
larger property as there is nothing exceptionable about a contract of sale where
the purchaser requires governmental approvals to sustain a higher purchase price
and it is clear that appellants sought to frustrate the contract by delaying and
preventing the necessary governmental approvals. Moreover, the estate was not harmed
by the absence of a right of termination prior to the expiration of the contract.

2. Choosing Beneficiaries for IRA, Life Insurance, etc.

You can name beneficiaries to receive certain assets after your death, including
individual retirement accounts (IRAs), life insurance policies, and annuities.
Make those designations carefully, since they typically override any provisions
in your will. Consider the following points:

List all assets with beneficiaries, noting the owner, primary beneficiary, and contingent
beneficiary. Also indicate the expected value of each asset.

Select the most appropriate person as beneficiary for each asset. In some cases,
tax and estate planning considerations may help dictate whom to choose. For instance,
spouses typically have more options when inheriting an IRA, so that may be the better
choice for your IRA.


Name contingent beneficiaries.

Without a named contingent beneficiary, the asse will be included in your probate
estate if your primary beneficiary dies before you. Then, the asset may have to
go through the probate process and may be distributed to a beneficiary you had not
intended to receive that asset.


When naming more than one beneficiary, indicate what percentage of the asset each
beneficiary should receive. Also decide whether each beneficiary's share should
be distributed to that person's heirs or divided among the remaining beneficiaries
if a beneficiary dies before you.

Assess whether your beneficiaries are capable of managing the asset. If not, you
may want to set up a trust to control distribution of the asset.

Review your beneficiaries periodically to determine whether changes are necessary.
A divorce, remarriage, spouse's death, or child's birth is all events that may require
changes to beneficiaries. You should also review your beneficiary choices if you
make changes to your will.

3. Vercammen, Pagano -- Champions for South
Brunswick at District 20 Wrestling Tournament.

From the Trentonian

The South Brunswick wrestling team did have some
bright moments on its home mat the District 20 Tourney. One came from Brendan
Vercammen,
who won the 171-pound weight class with a 4-3 win over Steve Zafrani of Old
Bridge.

South Brunswick also got gold from 130-pounder James
Pagano,
who beat Ryan Levinski of East Brunswick, 7-2, in his final.

Other medal winners for South Brunswick who
advanced to the Region 5 championship are Justin Lopez -2nd place, Chad
Capraro, Frank Capraro, Justin DeAndrea, Jeff Goldhagan.

Brendan Vercammenis the two-time
District champ and defending Region 5 champion.

The Region V tournament kicks off Friday night
at 5:30 p.m. at Hunterdon Central High School. Brendan is seeded 1st in the
Region tournament.

In an assault prosecution, grant of petitioner's motion to suppress evidence that
he pointed a rifle at an officer when he entered his house is reversed where the
officer did not violate the Fourth Amendment because he was responding to a report
of a disturbance and encountered a tumultuous situation in the house, which justified
a warrantless search under the emergency aid exception.

3. Estate planning for Business Owners- Buy-Sell Agreements


One estate planning tool that can protect your family and your business partners
is a buy-sell agreement. This legal document gives owners the first shot at buying
an interest in the company if another owner pulls out or dies. Ideally, these contracts
are drawn up when a business is launched but they can be entered into later.
But don't wait too long. If you die without an agreement, it may be difficult for
your heirs to know how to handle important matters that could have a significant
effect on the value, continuation or disposition of your business. Even if you
stay with the company for decades, the time to prevent disputes is before they occur.
Minimize legal fees, as well as sleepless nights, by solving the "what if" issues
now.
Ask these questions to determine where you need professional assistance to prevent
future problems:
Applicability
-Should the agreement apply only to the current owners or should it be binding on
all owners throughout the life of the business entity?
-Should the agreement supersede all other agreements to redeem a business interest?
-Is the agreement reviewed annually? (Changes in price or terms should require a
unanimous vote of the owners.)
Type of Agreement
-Should the agreement be structured as a redemption or cross-purchase agreement?
-Should the agreement be structuredto require the seller to sell and the buyer to
buy? To give the buyer an option to require the seller to sell? To give the seller
an option to require the buyer to buy? To give a right of first refusal to the buyer?
As a combination of any of these options above?
-Should the death of an owner cause an automatic buyout of the owners interest?
Or should his or her family be allowed to remain as an owner?
Price and Time
-Should the buyout price from the estate or heirs of a deceased owner be addressed?
What about the buyout price to a disabled owner? An owner who resigns or is dismissed?
An owner who goes bankrupt? If yes, when should it be paid? What interest rate should
the obligation bear?
-Should there be a difference in price if there's an amiable parting of ways?
-Should the price reflect the fact that you're selling to a long time business associate
rather than an outsider?

Community Pool Now and Save!

The
Metuchen Branch YMCA and the Edison Elks are once again pleased to co-sponsor
the Edison Community Pool, located on Old Post Road in Edison. They look
forward to serving the South Edison Community and surrounding areas this
summer, 2010.
Facilities

The newly renovated Edison Community Pool
located on Old Post Road in South Edison is surrounded by a wooded picnic area.
The facility boasts a 25 yard, 4-lane pool, water slide and a kiddie pool for
youngsters. Bathrooms with showers and a snack area with vending machines are
conveniently located around the pool area. A sand-filled volleyball court,
basketball courts and playground make this swim club a place for family fun.

The Edison Community
Pool will open for members on weekends beginning Saturday, May 29 through June
16 from 11:00 am-8:00 pm and Sundays from 12-8pm. Beginning , June 17, the pool
will be open weekdays from 12:00 pm-8:00 pm through Labor Day, September 6.

1. Rebuttable Presumption a Road Sign is Properly Posted. State v Smith 408 NJ
Super. 484 (App. Div. 2009)
Defendant's conviction on trial de novo for violating N.J.S.A. 39:4-125 is affirmed
because he turned his vehicle "around so as to proceed in the opposite direction
on a highway" on which a "no U turn" sign was conspicuously posted. Defendant
does not have to perform a "u turn." The West Annotated version of the statute
contains an error. The "no U turn" sign need not be on a "state" highway, and therefore
whether or not the road was a "state" highway was irrelevant, as there is a rebuttable
presumption the statute was properly posted. As defendant was not entitled to assigned
counsel, the fact he was improperly assigned counsel in the Law Division does not
require vacation of the municipal conviction because he was not assigned counsel
there.

A decision by the prosecutor's office to waive forfeiture of office under N.J.S.A.
2C:51-2 is not analogous to prosecutorial decisions with respect to pretrial intervention
and is not entitled to enhanced deference or judicial review. Waiver of forfeiture
is a judicial function, not a prosecutorial one.
